BPL-003 is the cheapest promise in Lilly's contract.

Lilly replaced all four directors of Beckley Psytech the day the deal closed. The contract pays CVR holders at most $0.50 on BPL-003 and asks Lilly to try in one indication only.

Title: BPL-003 is the cheapest promise in Lilly's contract.
Subtitle: Lilly replaced all four directors of Beckley Psytech the day the deal closed. The contract pays CVRA contingent value right, or CVR, is a promise by a buyer to pay the sellers a further sum only if a named event happens by a named date, so the headline price of a deal that carries one is a ceiling and not a payment. holders at most $0.50 on BPL-003 and asks Lilly to try in one indication only.

Lead Story

On 11 September, the day the deal closed, all four directors of Beckley Psytech were removed. Beckley Psytech is the UK company named as sponsor on every BPL-003 trial record. Two directors replaced them, both with a service address at Lilly House, Basingstoke. One of them, Kristina Wright, has sat on the boards of six Eli Lilly UK companies since August 2025, and joined ATAI Life Sciences UK the same day.

Issue 17 reported the paperwork: from 21 September, Lilly is the only person with significant control on Beckley Psytech's UK register. This issue is about what that control means for the people still owed money.

Everyone holding the CVR, the contingent value right paid out only if milestones land, is watching VLS-01. Fair enough. VLS-01 carries $2.00 of the $2.50. We went to the other $0.50.

BPL-003 pays CVR holders at most $0.50 each, less any offset, and only when two things happen: US approval, and the DEA moving the nasal spray out of Schedule I. Lilly has until 11 September 2031 to get both.

The effort Lilly owes BPL-003 is narrow. The milestone counts US approval in depression (MDDMajor depressive disorder, or MDD, is the clinical diagnosis of depression itself, the broad population from which treatment-resistant depression is drawn once two adequate courses of antidepressants have failed.), treatment-resistant depressionTreatment-resistant depression, usually shortened to TRD, is major depressive disorder that has not meaningfully improved despite adequate doses of at least two different antidepressants, each taken for long enough and with adherence confirmed, which is the European Medicines Agency's definition rather than a universal one. (TRD) or anxiety (GADGeneralised anxiety disorder, or GAD, is persistent and excessive worry that the person cannot control, and it is the indication in which Definium ran its two Phase 3 trials and one of the three Qualifying Indications in the AtaiBeckley CVR agreement.). For BPL-003 in MDD or GAD, Lilly does not have "any obligation to use any efforts". That leaves commercially reasonable efforts in TRD, which the contract says do not guarantee the milestone "by a specific date or at all". And holders cannot get a court to force even that. Section 6.4: "The Holders shall not be entitled to specific enforcement of Section 4.3."

Maximum payout per CVR by milestone: VLS-01 Phase 3 start $1.00, VLS-01 US approval and DEA rescheduling $1.00, BPL-003 US approval and DEA rescheduling $0.50 by 11 September 2031, with no efforts owed for MDD or GAD.

Our view: BPL-003 came in the box. The CVR is built around VLS-01, which carries $2.00 of the $2.50. BPL-003 is the cheapest promise in the contract: the smallest payout, a double regulatory bar, effort owed in one indication. Nobody from the old board is left on it.

The concession: replacing a subsidiary's board after closing is standard. It tells you who decides, not what they decided.

So we look for what Lilly does next. Every BPL-003 record we found on ClinicalTrials.gov and CTISThe Clinical Trials Information System, or CTIS, is the European Union's single portal for applying to run a clinical trial and for publishing it, and each record lists the member states whose regulator has taken a decision on the trial and the sites in each., the EU trial register, still names Beckley Psytech as sponsor. None names Lilly. We found no BPL-003 Phase 3 on either registry, under any sponsor. The first public test is 29 October, Lilly's Q3 results.

The full CVR terms, clause by clause, are in Exhibit 01.

EXTEND, a CYB003 Phase 3 that enrols by invitation only, now lists Greece, Poland and the United Kingdom. When we read the record on 31 August it had 33 location entries, all in Australia and the US. It now has 49: 42 in the US, three in Australia, two in Greece, one in Poland, one in the UK. Its primary completion date moved from 15 March to 6 June 2028, in an update posted 25 September.

EMBRACE lost eighty-one days. EXTEND lost eighty-three. Same drug, same direction. The sponsor of record is still Cybin IRL Limited, now part of Helus Pharma.

Data point

Two. EU countries where Lilly's brenipatide depression Phase 3, GZMI on CTIS, is now recruiting: Germany from 1 October, Poland from 8 October. Greece and Spain are authorised and show no start. Call 11, our December call on the trial's ClinicalTrials.gov record, needs one of five countries still listed there on 31 December.

Regulator watch

EMBRACE: Greece and Poland authorised a change on 7 October that CTIS classes as non-substantial. Lilly's brenipatide Phase 3s GZMP and GZME each had a substantial modification approved this week: GZMP in Belgium on 9 October, GZME in Germany on 9 October and Belgium on 12 October. The public CTIS record does not show what any of them changed.

Failed checks, not zeros

Lilly's investor events page refused us today. The 29 October date for call 14 rests on what that page said on 11 October. A combined ClinicalTrials.gov search for Lilly plus BPL-003 returned unrelated studies, so we did not count it. The CTIS search for "Eli Lilly" misses three of Lilly's own brenipatide trials, and their records open empty. Our BPL-003 negative rests on direct searches for BPL-003 and mebufotenin. A failed check is not a zero.

Ledger

No call scores this week. Call 14 scores on 29 October: Lilly does not name BPL-003, VLS-01 or mebufotenin in its Q3 results. If it names BPL-003 with a plan, our view above is wrong early.

The board: two hits, one miss, one void, thirteen open.

Thirteen carried in; this issue makes the fourteenth.

The call

By 30 June 2027 no new BPL-003 trial is registered on ClinicalTrials.gov or CTIS.

Fifty cents, one indication, a new board. We think nothing gets registered.

Falsifier: any BPL-003 trial record first posted after 11 September 2026 on either registry, any sponsor, any phase. BPL-003 means a record naming BPL-003, intranasal mebufotenin benzoate, or a code a Lilly filing ties to BPL-003. A sponsor change on an existing record does not count. Scores in the first July issue.

Resolves 2027-06-30. Logged as call 18 on the ledger.

Corrections

Correction, 11 October: our Issue 12 heading said the roughly $390 million figure for atai and Beckley appears in no filing. That was wrong. The figure is atai's own: its press release, furnished to the SEC as Exhibit 99.1 to the 8-K of 2 June 2025, says the new shares "value Beckley at approximately $390 million". What holds: the signed agreement sets a share count and a price formula, and puts no dollar figure on the deal. We also wrote that 103,000,066 shares were issued at closing. That figure counts shares issued directly or underlying replacement awards; the 10-K shows 93,580,831 shares issued to the sellers. The full share bridge is in Exhibit 02.

Four corrections to Issue 15 and Exhibit 01, all dated 12 October:

The falsifier carried the sentence "Registration is public before first dosing." That is wrong for ClinicalTrials.gov: 42 CFR 11.24(a) allows registration up to 21 calendar days after the first human subject is enrolled, so registration can follow the first enrolment. The sentence is cut. The call, its date and its scoring rule are unchanged.

The subtitle said "Lilly owes effort on TRD alone", TRD being treatment-resistant depression. That holds for BPL-003 only: its milestone counts approval in MDD, TRD or GAD, and the efforts clause excludes MDD and GAD. On VLS-01 the efforts covenant moves from TRD to MDD or GAD if Lilly, at its sole discretion, ends development in TRD and starts it in one of them.

The sentence "Every headline printed $3.8 billion." is cut from Exhibit 01. No primary source can establish what every headline printed. The deal terms stand: $6.75 a share in cash plus a CVR of up to $2.50.

The sentence "Lilly bought the right to decide, not a commitment to develop." was wrong. Section 4.3(a) commits Lilly to use Commercially Reasonable Efforts to achieve the milestones on both CVR products, and Section 4.3(b)(vii) disclaims any obligation to develop a CVR product only "except for Parent's obligations set forth in Section 4.3(a)".
