AtaiBeckley announced the Phase 3 that pays CVR holders. Lilly owes no effort to run it.

On 6 July AtaiBeckley said VLS-01 would go into depression (MDD) in a Phase 3 program. A first dose in it would pay CVR holders up to $1.00. The CVR form attached to the merger agreement signed nine days later gives Lilly no efforts obligation in MDD. The dollar is still reachable through TRD. Call 19 scores a hit.

Lead Story

On 6 July 2026, AtaiBeckley announced that it would advance VLS-01, its DMT film, "into major depressive disorderMajor depressive disorder, or MDD, is the clinical diagnosis of depression itself, the broad population from which treatment-resistant depression is drawn once two adequate courses of antidepressants have failed. in a Phase 3 program". The proxy statement records it on page 35. Nine days later, Eli Lilly signed the merger agreement to buy the company.

That program is exactly what pays AtaiBeckley's former shareholders their first dollar. Lilly paid $6.75 a share in cash plus a contingent value rightA contingent value right, or CVR, is a promise by a buyer to pay the sellers a further sum only if a named event happens by a named date, so the headline price of a deal that carries one is a ceiling and not a payment. (CVR), a further payment owed only if named milestones are met. The first milestone is the first dose given to the first patient in a Phase 3 trial of VLS-01 for a "Qualifying Indication". There are three: major depressive disorder (MDD), treatment-resistant depressionTreatment-resistant depression, usually shortened to TRD, is major depressive disorder that has not meaningfully improved despite adequate doses of at least two different antidepressants, each taken for long enough and with adherence confirmed, which is the European Medicines Agency's definition rather than a universal one. (TRD) and generalized anxiety disorderGeneralised anxiety disorder, or GAD, is persistent and excessive worry that the person cannot control, and it is the indication in which Definium ran its two Phase 3 trials and one of the three Qualifying Indications in the AtaiBeckley CVR agreement. (GAD). It pays up to $1.00 a CVR, less any Milestone Offset Amount, a deduction for certain third-party licence costs, and only before the fourth anniversary of closing.

The 6 July announcement landed in the middle of the negotiation. The same day, Lilly's lawyers sent AtaiBeckley's lawyers a revised CVR draft that made an "insertion of specific indications for the milestone definitions".

The CVR text we cite is the form attached to the merger agreement as Annex III. It is unsigned. The executed CVR agreement, between Lilly and its rights agent, is not on EDGAR.

Section 4.3(a)(i) of that form is the clause that matters. Lilly must use Commercially Reasonable Efforts to reach the VLS-01 milestones, but it has no "obligation to use any efforts" toward them "for the treatment of MDD or GAD".

So the program AtaiBeckley announced on 6 July would pay holders up to a dollar once it doses a patient. Under the CVR form attached to the merger agreement signed nine days later, Lilly owes no effort to run it.

Our view: holders marking the first milestone should mark TRD only. Lilly owes no effort toward the MDD program AtaiBeckley announced unless it chooses to drop TRD for it.

The concession: the dollar is still reachable. The exclusion names MDD and GAD, not TRD, so Lilly still owes efforts toward a VLS-01 Phase 3 in TRD, and a first dose there pays the same up to $1.00. Two limits sit on that. If Lilly ends VLS-01 development in TRD and starts MDD or GAD, the exclusion moves to TRD instead. And Lilly is never required to "simultaneously pursue multiple indications" for one CVR product.

TRD is also where the evidence is. AtaiBeckley's last quarterly report, filed on 11 August, after the 6 July announcement, describes VLS-01 in TRD only: "Elumina Phase 2b study in TRD advancing with last patient dosed; topline results anticipated in Q4 2026". We found no sentence in it that pairs VLS-01 with MDD.

The Elumina record, NCT06524830, still reads RECRUITING. It was last updated on 11 May and gives an estimated primary completion date of 1 August 2026. AtaiBeckley filed Form 15-12G on 21 September and no longer reports to the SEC, so any topline now comes from Lilly or from the registry. That is this week's call.

Call 15 already bets that no Lilly-sponsored VLS-01 Phase 3 in MDD is registered on ClinicalTrials.gov or CTISThe Clinical Trials Information System, or CTIS, is the European Union's single portal for applying to run a clinical trial and for publishing it, and each record lists the member states whose regulator has taken a decision on the trial and the sites in each., the EU's clinical trial register, by 30 June 2027.

Signal

Lilly's brenipatide COPD trial has started in Hungary. Its CTIS record, 2026-525480-41-00, filed in eight member states, was republished on 21 October and now shows a trial start in Hungary on 19 October. It is not one of the five records call 12 counts, so it does not move that call.

Compass Pathways filed a new statement of capital at Companies House on 23 October, for an allotment of shares on 14 October. The document itself is not yet available, so we print no share count from it.

Outside Europe, Compass's COMP360 PTSD trial Redefine, NCT07570654, now lists 10 sites, all in the US and Canada, up from 8 on 19 October. Two other records were updated with no change in any field we track: brenipatide in asthma, NCT07219173, on 22 October, and Definium's DT120 Ascend, NCT07592689, on 23 October.

Regulator watch

The European Medicines AgencyThe European Medicines Agency, or EMA, is the European Union's central medicines regulator: through the centralised procedure it evaluates whether a medicine may be sold across the EU and EEA, and it has no say in what any country then pays for it. (EMA) list of medicines under evaluation for October, and its list of extensions from 18 September to 15 October, name no psychedelic. The compassionate-use register of BfArMThe BfArM, in full the Bundesinstitut fur Arzneimittel und Medizinprodukte or Federal Institute for Drugs and Medical Devices, is Germany's national medicines regulator, and it also runs the country's narcotics oversight and its public compassionate use register., the German medicines regulator, still lists one psilocybin programme and no MDMA programme.

Failed checks, not zeros

The 6 July announcement itself would not open for us: the newswire copy returned 403 and AtaiBeckley's investor relations address, ir.ataibeckley.com, no longer resolves. We cite the proxy statement's record of it. When we ran the collection on 26 October, SEC full-text search returned 403 to our scripts on every term, so we searched EDGAR filing lists by company only. Helus's, Lilly's and Compass's investor sites refused our scripts. NICE's and the G-BA's lists did not load as readable pages.

Ledger

Call 19 is a hit. The call: by 17:00 Berlin on 23 October, Helus's published materials for its 21 October investor presentation contain no dated plan to submit a European marketing authorisation application for HLP003.

We read the news release Helus filed with the SEC on 21 October and the investor deck, "Helus Pharma Investor Presentation Oct 2026". Neither gives a date for a European application. The only filing date in them is American: "Helus Pharma expects to file a New Drug ApplicationA New Drug Application, or NDA, is the filing a company makes to the US Food and Drug Administration asking permission to sell a medicine, and it is the only marketing application Compass Pathways has said it is preparing for COMP360. with the FDA in 2028." We did not review the webcast replay.

Call 14 resolves on 29 October, the day of Lilly's third-quarter results. We score it in Issue 21.

With call 19 scored and call 20 added, the board stands at 3 hits, 1 miss, 1 void and 15 open.

The call

By 31 December 2026, no topline result from Elumina, the VLS-01 Phase 2b in treatment-resistant depression (NCT06524830), is published in a Lilly press release, a Lilly SEC filing or a results posting on ClinicalTrials.gov.

A Phase 3 is what pays CVR holders. Our view: the Phase 2b result is the first public signal of whether Lilly runs one. AtaiBeckley guided topline to the fourth quarter of 2026 in August. We think the quarter ends without one in public. Three facts point the same way: the registry has not been updated since May, AtaiBeckley no longer files with the SEC, and US rules allow a year after primary completion to post results, which on the record's estimated date runs to August 2027.

Falsifier: a topline result from NCT06524830 in a Lilly press release, a Lilly SEC filing, or a results posting on the ClinicalTrials.gov record, dated on or before 31 December 2026.

Resolves 2026-12-31. Scores in the first January issue. It goes on the ledger as call 20 when this issue is published (https://psychedelicbrief.com/ledger/).

Corrections

We withdraw "Lilly wrote itself". Exhibit 01 said that Lilly "refused, then wrote itself no efforts obligation for MDD or GAD". The proxy statement does not support that attribution. It shows that AtaiBeckley's own draft of 9 July added the clause that Lilly would not be required "to simultaneously pursue multiple indications in respect of a given CVR product" (page 36). No filing names who drafted the MDD and GAD exclusion, and none says whether AtaiBeckley knew on 6 July or lost the point in negotiation. We leave both open. Exhibit 01 dropped the phrase on 16 October.

Correction, 27 October 2026: Exhibit 01 described itself as covering "the signed agreement". It covers the unsigned form of CVR agreement filed as Annex III to the merger agreement. The executed CVR agreement is not on EDGAR.
