The registry says July. Lilly's deck said December.

ELUMINA's primary completion was 30 July. Any Phase 3 that pays holders a dollar would come after its result.

Lead Story

ELUMINA, the VLS-01 Phase 2b, reached primary completion on 30 July and study completion on 16 October. The registry has said so since 30 October. Nothing in the contingent value rightA contingent value right, or CVR, is a promise by a buyer to pay the sellers a further sum only if a named event happens by a named date, so the headline price of a deal that carries one is a ceiling and not a payment. (CVR) makes this trial a trigger. The first dollar pays on the start of a qualifying Phase 3. Our view: a Phase 3 without a Phase 2b result would be unusual, so this result is the one to watch.

ELUMINA, NCT06524830, VLS-01 buccal film in treatment-resistant depressionTreatment-resistant depression, usually shortened to TRD, is major depressive disorder that has not meaningfully improved despite adequate doses of at least two different antidepressants, each taken for long enough and with adherence confirmed, which is the European Medicines Agency's definition rather than a universal one., 142 patients, 48 sites across the UK, Australia, Canada and the US: ClinicalTrials.gov now reads COMPLETED, primary completion 30 July 2026 actual, study completion 16 October 2026 actual, no results posted.

Lilly's Q3 deck told a different story. Slide 57, sourced to ClinicalTrials.gov as of 20 October, listed ELUMINA with primary completion "Dec 2026" and a footnote: "clinicaltrials.gov update in progress". The registry update of 30 October came ten days after the deck's source date and after the pipeline chart dated 27 October.

Why it matters for holders: the first CVR milestone, one dollar a share, pays on a qualifying VLS-01 Phase 3 in treatment-resistant depression (TRD), MDDMajor depressive disorder, or MDD, is the clinical diagnosis of depression itself, the broad population from which treatment-resistant depression is drawn once two adequate courses of antidepressants have failed. or generalised anxiety disorderGeneralised anxiety disorder, or GAD, is persistent and excessive worry that the person cannot control, and it is the indication in which Definium ran its two Phase 3 trials and one of the three Qualifying Indications in the AtaiBeckley CVR agreement. (GAD). The decision to run one rests on this trial's result. The record names atai Therapeutics, Inc. as responsible party; its parent AtaiBeckley has been Lilly's since 11 September. Until results post, timing is the sponsor's choice within the deadline below.

The results clock is set in law, not in Lilly's calendar. Under 42 CFR 11.44(a), results are due on the record within a year of primary completion: 30 July 2027. A certification under 42 CFR 11.44(c), for a product not yet approved, can defer posting; we have not checked for one.

AtaiBeckley guided topline for Q4 2026 in its last 10-Q, on 11 August. AtaiBeckley filed a Form 15 on 21 September and no longer reports.

What Lilly's books say

Lilly's Q3 10-Q, filed 29 October, lists AtaiBeckley under "Asset Acquisitions", not among its business combinations. One row: BPL-003, mebufotenin benzoate, treatment-resistant depression, September 2026, Phase 2, acquired IPR&D charge 2,610 million dollars.

The 10-Q does not mention the CVR. "Contingent value": zero hits. "CVR": zero hits.

That is accounting, not a valuation. Lilly's stated policy for asset acquisitions: "Milestone payment obligations incurred prior to regulatory approval of the compound were expensed as acquired IPR&D when the event triggering an obligation to pay the milestone occurred." Before a trigger there is nothing to carry. After approval the treatment changes.

Keep two numbers apart. 2,610 million is the IPR&D charge Lilly expensed. 2,800 million is the upfront equity value in the 16 July announcement. Lilly's 29 October release gave Q3 acquired IPR&D of 4.2 billion "primarily related to the acquisitions of AtaiBeckley Inc. and Curevo Inc." without a split; the 10-Q supplies it.

Our view: Lilly carries no CVR on its books, and nothing in its accounts pulls it toward running the Phase 3 that pays holders their first dollar. The clock holders should watch is ELUMINA's result, not Lilly's calendar.

Registry trail

Beckley Psytech Limited, Companies House 11496099: two filings dated 21 September, filed 29 September. PSC07 ends Ataibeckley Inc. as a person with significant control. PSC02 enters Eli Lilly and Company as a relevant legal entity holding, "directly or indirectly, 75% or more of the shares". Directors Christopher Stokes and Kristina Mignon Wright from 11 September.

AtaiBeckley Inc. filed its Form 15 the same day, 21 September.

Compass Pathways plc, Companies House 12696098: seven statements of capital filed on 1, 12 and 23 October. Issue 20 noted the 23 October filing without a figure. The 23 October filing records an allotment dated 14 October that added 208.00 pounds nominal, taking issued capital to 1,133,682.82 pounds.

Helus

APPROACH, NCT06564818, HLP003 (formerly CYB003) as an adjunct in major depressive disorder: COMPLETED on 23 October, 223 enrolled, 45 sites, all in the US. Helus guided topline "on track for Q4 2026" on 21 October and an FDA filing in 2028. On 27 October co-founders Eric So and Paul Glavine left their executive roles and stay on the board; Mark Lawson is independent Chair, Michael Halstead CEO. EMBRACE, the trial with European sites, is still recruiting with primary completion 7 June 2027, which is call 17.

Compass

Compass has not filed Q3 results as of 2 November. Calls 9 and 16 are checked in Issue 22.

Ledger

Call 14, scored: MISS.

The rule, as printed on 15 September: Lilly does not name BPL-003, VLS-01 or mebufotenin in its Q3 2026 earnings press release, earnings deck, prepared remarks or Q&A, as published on the day of the release. The falsifier: any of the three names in any of the four documents, pipeline chart included.

What happened: the release, zero hits for the three names. The pipeline chart on slide 19, zero; the compounds appear as "BUCCAL FILM DMT" and "INTRANASAL 5-MeO-DMT". The remarks and Q&A are not documents we hold as primary sources; our own notes of the call show none of the three names, and the verdict does not rest on them. Slide 57, which reproduces the ClinicalTrials.gov title for ELUMINA, carries "VLS-01" once, inside that title.

One hit in a quoted registry title is a miss under the rule as written. The rule had no exemption for reproduced titles, and we do not add one after the fact. We wrote it that way on purpose: a rule that bends to what we meant is not a rule. The board after call 14: three hits, two misses, one void, fourteen open.

The substance is unchanged. In Lilly's own words, release, pipeline chart and remarks, the three names never appeared.

Call 20, update: the basis lines we printed on 27 October were true that day and are now superseded. ELUMINA no longer reads RECRUITING; it reads COMPLETED. The record was last updated on 30 October, not 11 May. The results deadline under 11.44(a) is 30 July 2027, not August. The rule and the resolution date do not move: a topline result in a Lilly press release, a Lilly SEC filing, or a results posting on the record, dated on or before 31 December 2026, falsifies it. As of 2 November, none exists.

Our view on call 20: AtaiBeckley no longer reports and Lilly does not publish Phase 2b toplines for small acquired programmes outside its own events. We expect no result by 31 December.

Fourteen carried in; this issue makes the fifteenth.

The call

Call 21: Lilly's FY2026 Form 10-K does not mention the CVR in connection with AtaiBeckley. Resolves when the 10-K is filed, due on or before 1 March 2027. Falsifier: "contingent value" or "CVR" appears in the FY2026 10-K in connection with AtaiBeckley. The Q3 10-Q has zero hits for both; the call tests whether the year-end filing says more.

Corrections

Correction, 27 October 2026, Exhibit 01, the indication proviso: AtaiBeckley's 9 July draft proposed that Lilly need not pursue several indications at once, not a limit of one indication per product. The opinion and the 16 October line are amended. Live on the exhibit since 27 October; not printed in Issue 20.

Correction, 27 October 2026, Exhibit 02: the Founders' warranty cap is 100%, not 10%, for Fundamental Warranty Claims; the 25 million pound clause is an exception, not a floor; joint board-seat oversight; leakage scope; and wording in the opinion and the Phase 2b and Break fees rows. Live on the exhibit since 27 October; not printed in Issue 20.
